The article presents interconnections between various aspects of the corporate governance from the New Institutional Economics perspective. Key features and issues of the corporate governance have been sketched taking into account particularities of the chosen transformation way in Russia including privatization as an institutional changes element crucial for emerging corporate governance system. It has been described the space for opportunities to change corporate law for increase corporate system efficiency. Basic features of approach to improve corporate law have been identified.
